The company, part-owned by the fund Alter Capital, has closed the operation, advised by BDO and Ontier, pending judicial approval. The banking pool was led by Santander.
Antonio Catalán, founder and CEO, increases his stake to 77% through his holding company ACN Partners. Colombian businessman Álvaro Zuluaga, from Capital Express, will provide a convertible loan of 1.5 million euros, while Soulai Temsa injects two million into ACN Partners.
Soulai Temsa, linked to the energy and perfumery sectors, will provide commercial reach for Trending in northern Spain and becomes the commercial director of the Seville-based company.
Alter Capital, which injected 2.9 million euros in 2023, had a guarantee for a six million euro recovery. Treasury problems arose after a credit line was cut, forcing staff reductions and the elimination of unprofitable brands.
Trending operates in three divisions: makeup, Korean cosmetics, and hair products. Its annual turnover is 25 million euros, with 65% in Spain and 35% in international markets. For 2025, it expects to reach 30 million euros.
The company has made provisions for inventory obsolescence and changed its makeup brand strategy, focusing on own-brand and US manufacturing for European sales. Clients include Primor, Druni, and Clarel in Spain, and Normal and Hondos internationally.
